Director of Solar Transactions

Job Summary:

As a leading national tax credit syndicator, NT Solar finances the transformation of sustainable communities nationwide with Solar Investment Tax Credits (ITC). Our women-led investment team raises capital from investors and directs it to developers managing solar energy projects. NT Solar is a subsidiary of the National Trust Community Investment Corporation (NTCIC), an affiliate of the National Trust for Historic Preservation, and one of the most active tax credit syndicators in America.

NT Solar seeks a Director of Solar Transactions to manage transaction closings and subsequent fundings for up to $200MM in investment tax equity transactions per year with 4-5 investor partners and 10-15 developer partners. The Director will also participate in business development and overall process improvements for NT Solar.

Duties:
  • Support solar team to ensure efficiency and integrity of overall operations.
  • Support business development and provide initial input on potential transactions.
  • Once a Term Sheet is executed, review diligence materials and provide a comprehensive assessment of potential risks, project economics, binding contracts, and counterparties.
  • Prepare and present diligence package to Investors and NTCIC’s internal Investment Committee for review prior to transaction close.
  • Manage transaction closing calls, negotiate key terms of transaction documents, review and approve final language, and note any deviations from the Term Sheet and/or internal diligence guidelines.
  • Incorporate knowledge of best business practices and programmatic, tax, and accounting considerations in assessing deal potential and finalizing transaction documents and fundings
  • Engage and work with legal counsel, appraisers, and engineers for closing
  • Coordinate overall portfolio management and assist with business line management
  • Manage data systems and team input to track progress on all transactions and assets in operation toward annual budget goals
  • Effectively transition closed transactions to Transaction Manager following the initial close cycle
Qualifications:
  • Bachelor’s degree with an emphasis in finance (or equivalent work experience) and either a master’s degree in business or finance or more than 5 years of experience with a solar energy company, investor, or tax credit syndicator
  • At least 5 years of transaction management experience and proven ability to drive transaction closings to completion while maintaining necessary credit, accounting, and legal standards
  • Exceptional organizational skills and an ability to evaluate risks, gather and synthesize information, deliver key information on precise timelines, and propose solutions to address changed circumstances
  • Strong financial analysis and Excel skills
  • Expertise in legal, tax, and accounting aspects of renewable projects
  • Demonstrated ability to work well in a team setting
  • Tax credit finance background
    • Solar Tax Credit experience strongly preferred
    • Proficiency in transacting in project finance
  • Ability to apply knowledge to new business opportunities (e.g., new tax credit programs, new asset classes) to address relevant risks and benefits
  • Seamless collaboration skills with internal and external stakeholders
  • Demonstrated self-starter with strong drive and organizational skills, able to “think and act on one’s feet”
  • Proficiency in Microsoft O365 spreadsheet, database, and presentation software
  • Strong written and oral presentation skills
  • Experience with Salesforce a plus

Skills & Abilities

  • Familiarity and comfort with the relevant terms of other sources of financing commonly used in connection with these transactions and ability to balance needs of the financing providers with overall financing constraints
  • Ability to organize and manage multiple sources of data and effectively use data management systems for multiple transactions at various stages concurrently
  • Ability to conceptualize and structure complicated transactions that rely on knowledge of tax law, accounting practices, financing tools, and power contracts
  • Ability to read, analyze, and negotiate complex legal documents
  • Ability to interact well with other team members, in person and by phone and email, to effectively communicate and resolve issues verbally and in writing and maintain strong relationships
  • Ability to analyze complex financial models for accuracy, programmatic compliance, credit risk, and accounting principles
  • Ability to manage the closing process and key relationships with all counterparties, their respective counsel, and third-party service providers

Pay & Benefits

Salary Range: $150,000 – 185,000

This is a full-time, exempt-level position, eligible for full benefits, including health, dental, life insurance, retirement benefits, and 3+ weeks of vacation, plus sick time and holidays.
